Terms and conditions

These terms are an agreement between you and Victor Jimenez, of Jalisco, Mexico, who runs NoshChat ("we", "us", "our"). They cover the NoshChat app at noshchat.runat.app, its sign-in pages, this website, and stats.noshchat.com (together, "NoshChat"). By creating an account, accepting these terms when you sign up, or using NoshChat, you confirm that you have read, understood and accepted them and our privacy policy. If you don't accept them, don't use NoshChat.

1. What NoshChat is

NoshChat is a food log you talk to. You tell it what you ate, and it estimates the calories, protein, carbs, fat and fiber and counts them against a daily target. It can also suggest what to eat next, keep track of the food you have in, and remember the foods you log. It is a general wellness and record-keeping tool. It is not a medical device, and not a healthcare, dietetic or nutrition service.

2. Not medical advice: your health is your responsibility

• No professional relationship. Using NoshChat does not make anyone your doctor, dietitian or nutritionist, and creates no professional relationship of any kind.
• Estimates only. Every number in NoshChat, including your daily target, is an approximation. Most are produced automatically from what you write. They can be inaccurate, incomplete or plainly wrong. Don't rely on them where accuracy matters, for example to dose insulin or other medication, to manage diabetes, kidney disease or another condition, to avoid an allergen, during pregnancy, or for a child's diet.
• See a professional first. Talk to a doctor or a registered dietitian before you start a diet, change how you eat, or act on any target or suggestion. This matters most if you are pregnant or breastfeeding, under medical care, taking medication, have or have had an eating disorder, or have any health condition.
• Allergies and food safety. NoshChat doesn't know your allergies or intolerances, and doesn't check ingredients, freshness, preparation or food safety. That includes suggestions made from your cupboard. Check everything yourself, and never eat something only because NoshChat suggested it.
• Not for emergencies. Nobody watches NoshChat, and it can't help in an emergency. If you feel unwell, contact a doctor or your local emergency number.
• Stop if it doesn't help. If counting food makes you anxious or changes your relationship with food for the worse, stop using NoshChat and talk to a professional.
• Your choices are yours. You alone decide what you eat and do. You take all the risk of using NoshChat, and of acting, or not acting, on anything it shows you.

3. AI-generated content

• NoshChat uses AI services from other companies to read your messages and write its replies. Their output can be inaccurate, incomplete, out of date or inappropriate. They can misread what you wrote and log the wrong food or amount. Check your entries.
• We don't review, guarantee or endorse any AI output, and to the extent the law allows, we are not responsible for anything you decide or do because of it.
• Don't send anything you don't want processed by those services, as described in our privacy policy.

4. Your account

• You must be at least 18 and legally able to enter into this agreement.
• Sign up with an email address that is yours, and keep your password and any agent keys confidential.
• You are responsible for everything done with your account, including by an AI assistant or tool you connect with an agent key, and for any entries it creates, changes or deletes.
• Tell us at [email protected] straight away if you think someone else is using your account. We are not liable for losses caused by someone using your password or keys because they were not kept safe.

5. Plans, chat credits and payment

• Each message the app reads uses chat credits. Your allowance restarts on the 1st of each month (UTC). When it runs out, the chat stops until then; your food log, day and week still work. Unused credits don't carry over, can't be transferred, and have no cash value.
• Free plan. Free, with a monthly allowance of chat credits. We may change or end the free plan.
• Subscription. $4.99 USD a month, plus any taxes that apply, with a much larger monthly allowance of chat credits. The billing, renewal and cancellation terms shown when you subscribe form part of these terms. You can cancel at any time, and the subscription then runs to the end of the period you have paid for. Except where the law requires, payments are not refundable, including for part of a period.
• We may change the plans, the allowances, the features or the price. A price change applies from a billing period that starts after we have told you about it, so you can cancel first.

6. Using NoshChat fairly

You agree not to:

• break the law, or use NoshChat to harm, harass or deceive anyone;
• use NoshChat to give medical, dietary or nutrition advice to other people, or to keep records for anyone but yourself;
• send other people's personal data without their permission, or content you have no right to send;
• try to get into accounts or data that aren't yours, or probe, scan or attack the service;
• get around the chat credits or other limits, or overload the service, for example with automated requests other than through an agent key;
• copy, resell, scrape or reverse engineer NoshChat, or use it to build a competing product;
• try to make the AI produce harmful or unlawful content, or to reveal how it is instructed.

7. Your content

What you put into NoshChat (your messages, food log, profile, cupboard and settings) stays yours, and you are responsible for it. You give us a non-exclusive, worldwide, royalty-free permission to store it, process it, and pass it to the providers listed in our privacy policy, as needed to run and secure NoshChat. That permission ends when your data is deleted, except for copies kept as the privacy policy describes. We don't review your content and aren't responsible for it.

8. Our content, and the stats and videos

• NoshChat, including its software, this website, its text and design, the NoshChat name, and Avo and Brock, belongs to us or our licensors, and all rights are reserved. You may use it only as these terms allow.
• The breakdowns at stats.noshchat.com are commentary on food shown in other people's public videos. They are estimated automatically from what is on screen, are for illustration and entertainment only, and are not statements of fact about any person. Each credits its original creator. NoshChat is not affiliated with or endorsed by those creators or by the platforms they post on.
• If you hold the rights to something shown and want it taken down, email [email protected] with a link to it, and we will review your request promptly.

9. Other companies' services

NoshChat relies on other companies for hosting, AI, email and sign-in protection, and links to other websites. To the extent the law allows, we are not responsible for their services, content, availability or acts.

10. Changes, availability and suspension

• NoshChat is in active development. We may change, suspend or stop any part of it at any time, with or without notice, to the extent the law allows. If we close NoshChat altogether, we will try to give reasonable notice.
• We don't promise that NoshChat will always be available, or that your data will never be lost. NoshChat is not a backup service; keep your own copy of anything important to you.
• We may suspend or close your account, or limit your access, if you break these terms, if the law requires it, or to protect other people or the service.

11. No warranty

To the fullest extent the law allows, NoshChat and everything in it are provided "as is" and "as available", without any warranty, express or implied. That includes any warranty of merchantability, fitness for a particular purpose, accuracy, completeness or non-infringement, and any warranty that NoshChat will be uninterrupted, secure or free of errors, or that data will not be lost.

12. Limit on liability

• To the fullest extent the law allows, we are not liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, data or goodwill.
• To the same extent, we are not liable for any injury, illness, allergic reaction, change in weight or other health outcome arising from your use of NoshChat or your reliance on anything it shows you, however it is caused.
• Our total liability for all claims to do with NoshChat is limited to what you paid us for NoshChat in the 12 months before the event the claim is about, or 10 US dollars if you paid nothing.
• These limits apply whatever the legal basis of the claim (contract, tort including negligence, strict liability or anything else), even if we were told the damage was possible.
• Nothing in these terms excludes or limits liability that the law does not allow to be excluded or limited, such as for fraud or wilful misconduct, or takes away rights you have as a consumer that cannot be waived.

13. Indemnity

To the extent the law allows, you agree to defend, compensate and hold harmless Victor Jimenez and anyone who helps run NoshChat against any claim, loss, liability or cost, including reasonable legal fees, arising from your breach of these terms, your content, your misuse of NoshChat, or your breaking any law or anyone's rights.

14. Claims and disputes

• Talk to us first. Before you bring any claim, email us at [email protected] with the details, and give us 60 days to try to resolve it with you, to the extent the law allows.
• Governing law. These terms, and anything to do with NoshChat, are governed by the laws of Mexico, including the laws of the State of Jalisco, without regard to conflict-of-laws rules. The UN Convention on Contracts for the International Sale of Goods does not apply.
• Courts. Any dispute goes to the competent courts of Jalisco, Mexico, and you waive any other jurisdiction you may have because of your present or future domicile or for any other reason, to the extent the law allows.
• Individual claims only. To the extent the law allows, claims may be brought only individually, not as a plaintiff or class member in any class, collective or representative action.
• Time limit. To the extent the law allows, any claim must be brought within one year of the date it arose, or it is barred.
• Consumer rights. If you use NoshChat as a consumer, you keep the rights the consumer law of your country gives you and that cannot be waived, including any right to complain to a consumer authority or to bring a claim where you live.

15. General

• Whole agreement. These terms, the privacy policy and any terms shown when you subscribe are the whole agreement between you and us about NoshChat.
• Severability. If any part of these terms is found invalid or unenforceable, it is limited or removed only as far as necessary, and the rest stays in force.
• No waiver. If we don't enforce a term straight away, we can still enforce it later.
• Transfer. We may transfer these terms and your account to someone else, such as a company that takes over NoshChat. You may not transfer them without our written agreement.
• Events beyond our control. We are not liable for any delay or failure caused by events beyond our reasonable control, such as outages at our providers, network failures, natural disasters or acts of government.
• What survives. Sections 2, 3, 7 and 8 and 11 to 15 survive the end of this agreement.

16. Changes to these terms

We may change these terms. When we do, we will post the new version here with a new date at the top, and if a change is significant, we will tell you by email or in the app before it takes effect. If you keep using NoshChat after that, you accept the new terms. If you don't accept them, stop using NoshChat and ask us to delete your account.
